BREAKUP FEE
Provision found in takeover agreements requiring the seller to pay should he back out of a deal to sell to the acquirer. Also called termination fee, usually 1% to 3% of the deal’s value, compensates the prospective purchaser for the rendered time and resources in processing the deal.
