SEC Form S-3D is a filing filed by publicly-traded companies under the Securities and Exchange Commission’s EDGAR system every time they buy securities on behalf of shareholders. This is because of a dividend or interest reinvestment plan. A dividend or interest reinvestment plan is proposed by a company typically as a practical way for the shareholders to buy more shares of its own common stock with the use of said dividends and interest that have been earned on the existing shares of common stock.
