GO SHOP PERIOD
Provision permitting a public company being sold to solicit competing offers after it has already received the purchase offer. The original offer then acts as a floor for potential better offers. The window of time is normally about one to two months. The agreement may give the initial bidder the opportunity to compare any better offer the firm receives, and may pay the initial bidder a termination fee if another company acquires the target companies.
