GODFATHER OFFER
Irrefutable offer made to a target firm by an acquiring company. Normally, the price premium is very generous compared to the standard market price. If the target firm’s management declines the offer, shareholders may file lawsuits or other forms of revolt against the target for breaching a fiduciary duty for serving the best interests of the shareholders.
