GOLDEN PARACHUTE
Contract in which an employee, normally a top executive, is given substantial benefits in the event of a merger or takeover by another company and the executive is terminated. These contracts can be used as an antitakeover measure to deter an unwanted takeover endeavor. Benefits include generous severance pay, cash bonuses, stock options, or any combination of these. Also called change-in-control benefits.
