LIQUIDATED DAMAGES

The provision in a written agreement or legal contract that allows paying the total amount of compensation in the event a party breaches some part(s) of the contract. Also, it specifies the actions or failures that constitute the breach. By nature, for the contract to be legally enforceable, it should such difficult to assess actual damage and the extent of the damage must be reasonable enough under certain circumstances. Otherwise, it will be regarded as a penalty not as a compensation for an injury.
