SCHEDULE 13D

Schedule 13D is a form in the Securities and Exchange Commission under Rule 13D. It is a mandatory form to be filed when more than 5% of any class of a company’s shares is owned by a single individual or group. Information regarding the increase in ownership must be immediately addressed and disclosed to the SEC within 10 days of transaction. It is also mandatory for owners to disclose any other individual or group that has voting power and power to trade security under Rule 13D.
