TAXABLE SPINOFF
Divestiture of a division or subsidiary by a publicly traded company, which is subject to capital gains tax. As a result, that portion of the company will operate independently from the parent firm. To be eligible as a taxable transaction, the parent company must divest it through direct sale of the division, or the assets it holds. The profits from this transactions will be taxed as capital gains.
