This term offer is a proposal given by a company with an objective of purchasing the outstanding shares of another company from its shareholders by means of cash. An all cash, all stock offer is a method than an acquisition can be fulfilled. In this kind of offer, proposing a premium over the amount for which the shares are currently trading is one way of acquiring the company to beef up the deal and convince the undecided shareholders to agree to the deal.
