INTRASTATE OFFERING
A securities that is offered to only a state. Because it does not involve more than one state, that state is not part of the Securities and Exchange Commission (SEC)’s jurisdiction, hence it need not to be registered with the SEC. However, it is under the authority of the state regulators.
