SEC FORM 10-12B
SEC Form 10-12B is also referred to as the Initial General Form for Registration of Securities. This means that SEC Form 10-12B is a filing mandated when the issuance of a new class of stock by a public company which is done through a spin-off under the Securities and Exchange Commission. The data gathered under SEC Form 10-12B includes the information about the original shares issued, the new shares affected, and data regarding the process and which exchange the new shares will trade into.
