SEC FORM PREM14C
SEC Form PREM14C is also referred to as ‘preliminary information statement relating to merger or acquisition’. This means that SEC Form PREM14C is a filing by a registrant whose purpose is to be a part of a merger or acquisition under the Securities and Exchange Commission. SEC Form PREM14C may also be used by security holders who have the right to vote on the company’s issues for which no proxies are solicited by the company. SEC Form PREM14C gives security holders information similar to the information available on Schedule 14A plus information about the interest of specific persons in or opposition on important matters and proposals from security holders. SEC Form PREM14C is needed so that it may be stated that proxies are not being solicited.
