TOEHOLD PURCHASE
Act of purchasing less than 5% of the target firm’s outstanding stock by an acquiring company. Although 5% is not a significant stake, it gives shareholders a toehold grip on the firm and its decision making. In the case of a shareholder vote, having a toehold makes a difference in such votes.
