UNREGISTERED SHARES
Unregistered Shares, as its name indicates, are securities that are not registered on the Securities and Exchange Commission. They are also referred to as restricted stocks. These unregistered shares can be used in many ways. It can be issued as employee stock benefit plans, as Regulation D offerings, and private placements. It can also be used as professional service compensation in exchange for a start-up company funding.
