EXCHANGEABLE DEBT
Hybrid debt security which can be converted into the shares of a firm other than the issuer (issuing firm), normally a subsidiary. The terms of the issue are indicated in the bond indenture at the time it is issued, such as debt maturity and number of shares the debt instrument can be converted. Companies issue this debt for numerous reasons including tax savings and divesting a huge stake in another firm or subsidiary.
