Special incentives offered to nominated directors to become part of the firm’s board by a major shareholder. It is designed to offer an incentive to the nominees to serve the interests of the major shareholder, normally an activist hedge fund or other institution aiming to introduce key changes in the target firm’s company strategic direction.
