SEC Form F-N is required to be filed by foreign banks, insurance companies, and their subsidiaries. A foreign issuer, however, is exempted from filing SEC Form F-N under two conditions: first, if they have an existing filing with SEC Form F-X under the Securities Exchange Act of 1933 and second, if they are already issuing debt securities or non-voting preferred shares.
