SEC FORM F-N

SEC Form F-N is also referred to as the Appointment of Agent for Service of Process by Foreign Banks and Foreign Insurance Companies. This means that SEC Form F-N is a filing that is required to be submitted by foreign issuers for the appointment of an agent that is to make a public offering in the United States under the Securities and Exchange Commission. SEC Form F-N is required to be filed by foreign banks, insurance companies, and their subsidiaries. A foreign issuer, however, is exempted from filing SEC Form F-N under two conditions: first, if they have an existing filing with SEC Form F-X under the Securities Exchange Act of 1933 and second, if they are already issuing debt securities or non-voting preferred shares.
