SEC FORM F-X

SEC Form F-X is also referred to as the Appointment of Agent for Service of Process and Undertaking. This means that SEC Form F-X is a filing that requires issuers that is doing one of five conditions for the appointment of an agent that may be served processes, pleading, subpoenas, and other documents under the Securities and Exchange Commission. The following conditions are:

  1. The registration of securities using SEC Forms F-8, F-9, F-10, or F-80 that are under the Securities Exchange Act of 1933.
  2. The registration of securities using SEC Form 40-F that is also under the Securities Exchange Act of 1933.
  3. The qualification of an offering in accordance with Regulation A in the case of a Canadian issuer.
  4. The filing of tender offer documents on SEC Forms 13E-4F, 14D-1F, or 14D-9F
  5. The utilization of any foreign issuer of SEC Form CB in relation to a tender offer, rights offering, or business combination, and acting as trustee for securities that are registered under SEC Forms F-7, F-8, F-9, F-10, F-80
