Underlying, in terms of derivatives, is the security that must be delivered once a derivative contract (such as put or call option) is exercised. Meanwhile, in terms of equities, it is the common stock that must be delivered once a warrant is exercised or a convertible bond or a convertible preferred share is converted to common stock.
