UPSTAIRS TRADE
An Upstairs Trade is an exchange-listed stock that is bought or sold in a transaction but not made through an exchange. This happens because there are different terms and pricing in an exchange than in an upstairs trade as agreed upon by the involved parties. Only select exchanges allow for upstairs trade and it does not happen in a trading floor.
