SCHEDULE TO-I
Schedule TO-I is a schedule under the Securities and Exchange Commission filed by specified reporting companies that engage in ‘self-tender’ or creating tender offers for the benefit of one’s own securities. This schedule is otherwise known as ‘issuer tender offer statement’. Schedule TO-I is filed in relation to Rule 13E-4 under the 1934 Act. It imposes additional requirements for issuers to comply with when an issuer is made to tender offer. Schedule TO-I replaced Schedule 13E-4 on January, 2000.
