SEC SCHEDULE 13E-3
SEC Schedule 13E-3 is a filing accomplished by a publicly-traded company or its affiliate under the Securities and Exchange Commission. SEC Schedule 13E-3 is done when the publicly-traded company or its affiliate goes ‘private’ which is to say that the quantity of shareholders is declining to a level where it no longer is required to file reports with the SEC. This is also true for de-listed shares from a securities exchange. Privatization of a company may happen because of several factors such as a tender offer, a reverse stock split, a sale of assets, or a merger.
