SEC FORM N-6F
SEC Form N-6F is also referred to as the Notice of Intent to Elect to be Subject to Section 55-65 of the Investment Company Act of 1940. This means that SEC Form N-6F is a filing to be submitted by a company with the intention of filing notification of election to be subjected through Sections 55 through 65 of the Act that must done within 90 days from the date of filing under the Securities and Exchange Commission. The company will then be exempt from the definition of an investment company as stated by Section 3(c)(1) of the Act, however, it shall presently propose to make a public offering of the securities in the form of a business development company. Sections 55 through 65 is concerned with the asset acquisition by BDCs, directors’ qualifications, certain affiliates’ transactions, investment policy rectifications, title provisions’ incorporation, BDCs’ functions and activities, loans, capital structure, the securities’ distribution and repurchase, records and accounts, preventing compliance with title and liability of controlling persons.
